Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the OpenMTP website, desktop application, and related services (collectively, the "Service"), operated by 77-GRIDS, a sole proprietorship. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Scope of These Terms

These Terms apply to all access to and use of the following:

• The OpenMTP website
• The OpenMTP desktop application
• License purchases, renewals, and pre-approved licenses
• Free Tier and paid features
• Related services, analytics, error reporting, and support interactions

These Terms govern all usage of the Service unless explicitly stated otherwise in writing.

2. Definitions

"OpenMTP", "we", "us", or "our" refers to 77-GRIDS, a sole proprietorship that owns and operates the OpenMTP Service.

"You" or "User" refers to any individual or entity accessing or using the Service.

"Service" refers to the OpenMTP website, desktop application, and related features.

"License" refers to the limited right granted to use the Service.

"Free Tier" refers to features offered without charge.

"Paid License" refers to a purchased license granting access to additional features.

"Pre-approved License" refers to a license granted at our discretion to selected users.

3. Acceptance of Terms

By accessing, installing, or using the Service, you confirm that you have read, understood, and agreed to these Terms. Continued use of the Service after updates constitutes acceptance of the revised Terms.

4. License Grant and Restrictions

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely in accordance with these Terms.

The Service is licensed, not sold. All rights not expressly granted are reserved.

You may not sublicense, sell, rent, lease, distribute, transfer, or share the Service, license keys, or access credentials with others.

Licenses are subject to limits such as maximum number of devices or installations. You agree to comply with these limits.

5. License Types, Duration, and Validity

License Duration

All licenses are valid only for the duration specified at the time of purchase or grant. Upon license expiry, you agree to forfeit access to the Service unless the license is renewed.

Certain parts of the Service may be made available without a license as part of a Free Tier or free plan, where explicitly allowed. Access to such free features is optional, limited, and provided at our discretion, and may be modified, restricted, or discontinued at any time.

Minimum supported operating system versions, hardware requirements, and system dependencies may change over time due to platform updates, security requirements, or technical limitations. These requirements apply to all usage of the Service, whether under a paid license, pre-approved license, or without a license as part of a Free Tier or free plan.

You are responsible for ensuring that your operating system, hardware, and system environment meet the minimum requirements for the Service throughout the license term or period of use.

While we may attempt to maintain compatibility with older or legacy operating systems or hardware, such support is not guaranteed and may be limited, delayed, or discontinued at any time.

If your operating system or hardware no longer meets the minimum supported requirements:

• You may be required to update your system to continue using the Service
• You may continue using the last compatible version of the Service available for your system, if any
• You will not be entitled to refunds, credits, or compensation due to incompatibility, discontinued support, or lack of updates resulting from outdated operating systems or hardware

Lifetime License Clarification

A license described as "lifetime" or without a stated expiry means the license remains valid only as long as OpenMTP and its related services continue to exist and are actively maintained.

A lifetime license does not mean:

• A perpetual obligation to provide updates, fixes, or support indefinitely
• Guaranteed availability if the Service or product is discontinued
• Guaranteed compatibility with future or past operating system versions, hardware configurations, or system environments
• Guaranteed updates, fixes, or continued support for outdated or unsupported operating systems or hardware

If OpenMTP or the Service is discontinued, all access to the Service, whether provided under a paid license, pre-approved license, lifetime license, or without a license as part of a Free Tier or free plan, will terminate at the time of discontinuation without further obligation, refund, or compensation.

6. License Limits and Device Restrictions

All licenses are subject to usage limits, which may include:

• A maximum number of devices per license
• Limits defined by the selected license tier
• Technical, security, or abuse-prevention enforcement

By using the Service, you agree to comply with all applicable license limits.

If you believe you require a legitimate exception to a device or usage limit, you may contact ganesh@openmtp.com. Any exception is granted solely at our discretion.

7. Pre-approved Licenses

Pre-approved licenses are granted only to selected users based on internal eligibility criteria.

By claiming or using a pre-approved license, you agree that:

• Pre-approved licenses are non-transferable
• They may be free or paid depending on eligibility
• They are intended for a single individual and a limited number of devices
• If you already have an active or completed purchase, claiming a pre-approved license may not be allowed
• Any misuse, sharing, or attempted transfer may result in suspension or permanent ban

Pre-approved licenses are valid only until their stated expiry. After expiry, access to the Service is forfeited unless renewed or replaced with a valid paid license.

8. Payments, Taxes, and Refund Policy

All purchases of the Service are made from 77-GRIDS, a sole proprietorship, and are processed and managed by third-party payment providers such as Paddle, who act as the Merchant of Record. We do not collect, store, or process your payment information directly.

Taxes

Prices may vary based on your country, region, state, province, or ZIP or postal code. Applicable taxes, including VAT, GST, sales tax, or other similar consumption taxes, may be added at checkout based on your location. These taxes are calculated, collected, and remitted by the payment provider. You are responsible for paying any applicable taxes associated with your purchase.

Currency and Exchange Rates

Prices for the Service are displayed in the currency shown at the time of checkout. If your payment method, bank, or card issuer converts this amount into another currency, the exchange rate and any related fees are determined solely by your bank, card issuer, or payment processor, not by us.

You acknowledge and agree that:

• The exchange rate applied to your transaction may differ from the rate shown at checkout and is outside our control
• You are responsible for any currency conversion fees, foreign transaction fees, or other charges imposed by your bank or payment provider
• We are not responsible for any gains or losses resulting from exchange rate changes between authorization, processing, settlement, or refund
• Any risk related to currency fluctuation is borne entirely by you as the purchaser

Refund Eligibility

As Paddle is the seller and Merchant of Record, all refunds are processed by Paddle in accordance with its buyer terms and applicable consumer protection laws.

You may request a refund within 14 days of purchase by contacting us at ganesh@openmtp.com. Any refund request must:

• Include the order ID
• Be sent from the same email address used for the purchase
• Include proof of payment where necessary

By completing the purchase, you receive immediate access to the Service. If you request a refund within 14 days, access to the Service will be disabled once the refund is processed. Statutory consumer rights remain unaffected where applicable.

Refund requests are handled in accordance with applicable law and the Merchant of Record's buyer terms. We aim to be fair and transparent when reviewing refund requests. Refunds, where approved, are issued by the Merchant of Record.

Refund Amount and Currency

Approved refunds are issued in the original transaction currency used at checkout.

If your original payment involved a currency conversion by your bank or payment provider:

• The refunded amount may be converted back to your local currency at the exchange rate in effect at the time of the refund
• You may receive more or less in your local currency than the amount originally paid
• Any currency conversion fees or foreign transaction fees charged during the refund process are your responsibility
• We are not responsible for any differences in the refunded amount caused by currency exchange rate changes

This is a one-time purchase with immediate access to the Service. Once a refund is issued, access to the Service and any associated license is permanently revoked.

9. Analytics, Cookies, and Tracking Controls

We use limited analytics and error-reporting tools to understand usage and improve the Service. These tools are not used for advertising or profiling.

Where legally required, a consent banner allows you to accept or decline analytics. Country detection for this purpose is performed once using Cloudflare Trace solely to determine whether consent is required.

You may use ad-blocking or tracking-blocking tools. Doing so will not restrict access to core functionality.

10. Free Tier and Feature Availability

The Free Tier and any unpaid features are provided at the sole discretion of the author.

We may modify, restrict, suspend, or discontinue free features at any time without notice. Free usage does not guarantee continued access or functionality.

Paid or pre-approved licenses do not automatically include all features. Some features may require separate purchase or upgrade.

11. Paid Tier and License Modifications

For paid licenses, you agree that we may, at our discretion:

• Modify license terms or scope
• Adjust feature availability
• Change or reduce maximum allowed devices
• Enforce updated technical or usage limits
• Introduce new restrictions required for security, abuse prevention, or platform stability

Such changes do not entitle you to refunds unless explicitly stated.

12. User Conduct and Prohibited Activities

You agree not to:

• Engage in illegal, abusive, or harmful activities
• Share, sell, or transfer licenses or credentials
• Attempt to bypass device, license, or usage limits
• Reverse engineer, decompile, or extract source code
• Interfere with the Service, infrastructure, or other users
• Attempt unauthorized access, scraping, or security testing
• Impersonate, misrepresent, or act on behalf of another individual or entity without authorization
• Use an email address that does not belong to you for account creation, license purchase, or access to the Service

You agree that all purchases, registrations, and license usage must be performed using your own valid email address. Licenses are issued to the individual associated with the purchase email and are not transferable.

Violations may result in suspension, permanent ban, or legal action.

13. Intellectual Property

All intellectual property rights in the Service, including software, source code, designs, logos, trademarks, and documentation, are owned by 77-GRIDS, a sole proprietorship.

Use of the Service does not grant you ownership of any intellectual property.

14. No Warranty and Limitation of Liability

The Service, including the OpenMTP website, applications, and any content or features offered, is provided "as-is" and "as-available", with all faults and without warranty of any kind.

We make no representation, warranty, or guarantee that:

• The Service will meet your requirements or expectations
• The Service will be uninterrupted, secure, error-free, or compatible with your systems
• Any data, information, or content will be accurate, reliable, complete, or available at any time

You agree that use of the Service is entirely at your own risk.

To the maximum extent permitted by law, we shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits.

15. No Liability for Data Loss or Corruption

We are not responsible for any loss, corruption, or damage to your data, whether you are a free or paid user.

You are responsible for:

• Backing up your data
• Ensuring your environment meets your needs
• Protecting your systems and information

No warranty is made regarding data integrity, security, or preservation.

16. Third-Party Payment Processor Disclaimer

Payments processed through Paddle or other third-party providers are subject to their own terms and policies.

Any financial loss, delay, or issue arising from third-party payment processing is your responsibility. We are not liable for such issues.

17. Security Vulnerability Reporting

If you discover a security vulnerability, do not publicly disclose it without prior coordination.

18. Termination and Suspension

We may suspend or terminate access to the Service at any time for violations of these Terms, abuse, misuse, non-payment, or security concerns.

Termination does not relieve you of any outstanding obligations.

19. Modification of Terms

We may update these Terms at any time. Updates take effect when posted. Continued use of the Service constitutes acceptance of the updated Terms.

20. Governing Law and Jurisdiction

These Terms are governed by the laws of India.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Kottayam, Kerala, India.
